Code of Conduct

 

Introduction

Nordic Grid Solutions expects all employees and suppliers to act in accordance with Nordic Grid Solutions’ Code of Conduct, relevant national and international regulations, and internationally recognized human rights. In addition to these regulations and standards, the Code of Conduct is based on the UN’s Declaration of Human Rights, the UN’s Sustainable Development Goals, and the ILO’s core conventions on labor rights.

The business ethics guidelines apply to everyone in Nordic Grid Solutions, from the board and management to individual employees. These guidelines must be respected and followed.

The guidelines aim to ensure that Nordic Grid Solutions and all its subsidiaries, including but not limited to Stitec AB, Triarca A/S, Triarca GmbH, Hamag A/S, and Sargo A/S act professionally and responsibly toward our business relationships. The guidelines have been approved by the Board of Directors.


Human Rights and Working Conditions

We prioritize our employees by focusing on providing a safe and healthy working environment. Workplaces must be secure, inclusive, and free of accidents.

Through an effective and well-established HSE (Health, Safety, and Environment) organization, we work systematically and long-term to develop the working environment and support employee health, thereby preventing injuries and illnesses. HSE guidelines and rules must always be followed, and local regulations must be implemented. Adequate expertise, tools, and equipment must be in place to ensure the protection of people and property.

We encourage a diverse workforce and provide workplaces free from discrimination, harassment, or abuse of any kind. All employees must have equal rights and opportunities regardless of gender, ethnicity, religion, disability, sexual orientation, age, or political opinion. We do not tolerate any form of discrimination or harassment.

Child labor or any form of modern slavery is strictly prohibited.

The use of alcohol and drugs at work is not allowed. Alcohol may only be consumed during business travel or external meetings, and only in moderation and in accordance with local regulations and traditions.

Employees have the full right to organize, freedom of association, and the right to collective bargaining. These rights must be exercised freely without fear of retaliation or obstruction.

Terms of employment must comply with national and local laws as well as the ILO’s core conventions. Collective agreements, wage agreements, and employment contracts must be respected and adhered to.

All conditions regarding working hours, breaks, minimum wages, etc., must comply with national laws and regulations. These conditions must be clearly outlined in the Employee Handbook of each entity.

We are committed to protecting the personal data and privacy of our employees and business partners. Personal data must be collected and processed in accordance with applicable data protection laws. Employees must not access or use personal data without explicit official approval.


Environment

Nordic Grid Solutions is dedicated to protecting our planet and supporting sustainable practices. We expect our partners and suppliers to share this commitment and operate in compliance with relevant environmental legislation.

We hold all necessary environmental approvals, certifications, and registrations. These include, but are not limited to, areas such as waste management, air and water pollution, hazardous substances, and energy efficiency. We have procedures in place to identify, prevent, and address any negative environmental impacts arising from our activities.

We focus on developing and marketing products that reduce environmental impact for our customers. This includes both the product lifecycle and environmental pollution. We expect our partners and suppliers to adopt the same focus and actively support improvements.

Reducing greenhouse gas emissions, minimizing waste and energy consumption, and limiting the use of chemicals and hazardous substances are important KPIs within our ISO14001 system.


Business Ethics

Nordic Grid Solutions complies with national and international laws, rules, and regulations applicable to the markets where we operate.

We do not tolerate corruption, and our employees are expected to act responsibly and ethically in all business relationships. Any form of corruption, including bribery, extortion, facilitation payments, embezzlement, nepotism, or participation in cartels, is strictly prohibited. We expect the same standard from our partners and suppliers.

Employees must not accept gifts, services, or benefits from business partners.


Compliance and Breaches

The principles outlined in the business ethics guidelines are monitored regularly as an integral part of our operations. Management and supervisors at all levels are responsible for leading by example. Employees who are uncertain about how these principles apply in daily work can seek guidance from their supervisors.

Employees must report any suspected violations to management. All reports will be treated confidentially, and whistleblowers will remain anonymous, as permitted by law.

Our whistleblower arrangement is managed by an external partner to ensure anonymity. The system can be accessed through our internal webpage or the official website. We encourage all stakeholders to use this system if necessary.

These business ethics guidelines are available in English, Swedish, and Danish. Top management must ensure that all employees have read and understood the guidelines, including any updates approved by management or the Board of Directors.
